Job Duties and Responsibilities Candidates must be willing to participate in at least one in-person interview. EchoStar Corporation is seeking an Associate Corporate Counsel – M&A, Securities & Corporate Governance to support a dynamic in-house legal team. Reporting directly to Senior Corporate Counsel, this role delivers critical legal support on public company reporting, strategic corporate transactions, equity and debt financings, and governance practices. The position addresses complex legal challenges across a multi-brand portfolio including DISH, Boost Mobile, Sling TV, and Hughes by collaborating with legal colleagues, Finance, Investor Relations, Treasury, and external counsel. Additionally, this role incorporates leveraging AI tools to optimize legal research, contract review efficiency, and compliance tracking. What Success Looks Like (Objectives): Draft, review, and file SEC periodic and current reports including Forms 10-K, 10-Q, 8-K, and annual proxy statements while maintaining strict regulatory timelines Administer Section 16 compliance for officers and directors, oversee insider trading lists, and monitor trading window compliance to safeguard public disclosures Execute legal aspects of M&A, strategic investments, divestitures, and capital-raising transactions through due diligence management and contract drafting Support Board of Directors administration, shareholder meeting preparation, and subsidiary entity maintenance across domestic and international holdings Review investor presentations, press releases, and corporate policies in alignment with disclosure control processes and departmental goals Apply AI application tools to enhance legal drafting accuracy, accelerate document review, and streamline regulatory research workflows Skills, Experience and Requirements Core Skills and Competencies (What you’ll bring): Fundamental working knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934 Proven proficiency in contract drafting, diligence management, and high-level legal research Exceptional written and verbal communication abilities combined with strong organizational skills for fast-paced deadline management Critical experience executing SEC filings, managing subsidiary governance, and supporting M&A transaction lifecycles AI Literacy to evaluate and integrate modern legal technologies into daily disclosure and compliance workflows Strong collaborative decision-making and legal risk assessment capabilities across multi-departmental teams Additional Qualifications: Prior legal practice experience at a top-tier law firm or in-house legal department within the tech, media, or telecommunications sector Minimum Requirements: Minimum Education: Juris Doctor (J.D.) degree from an ABA-accredited law school Minimum Experience: 1 to 4 years of legal practice focused on SEC compliance, corporate governance, and/or M&A transactions Required Technical Skills: Active license in good standing to practice law in at least one U.S. state (or eligibility for Colorado single-client counsel certification) Visa sponsorship not available for this role Salary Ranges Compensation: $111,000.00/Year - $157,300.00/Year Benefits We offer versatile health perks, including flexible spending accounts, HSA, a 401(k) Plan with company match, ESPP,
