Job Title: Director Transactional Counsel (Energy Solutions) Company: Prologis A day in the life The Director, Transactional Counsel (Energy Solutions) serves as a key legal partner to Prologis Energy Solutions businesses, with a focus on renewable energy project development and commercial transactions. This role supports Solar origination and development teams on power purchase agreements, project site control, development and entitlement matters, EPC agreements, and legal issues that arise as projects progress from origination through construction. The role partners closely with real estate, leasing, development, origination, execution, finance, tax, and regulatory stakeholders and manages local land-use or real estate counsel when jurisdiction-specific expertise is needed. Success requires translating legal requirements and risk considerations into practical solutions for business teams. Key responsibilities include: Serve as the primary legal partner to the Solar origination team, advising on transaction structure and risk allocation. Draft, review, and negotiate power purchase agreements, equipment leases, and related customer-facing agreements for commercial and industrial solar projects in coordination with regulatory and business stakeholders. Advise business teams on the evaluation and structuring of new solar opportunities, identifying legal issues that could affect project economics, schedule, financing, construction, or long-term operations. Lead legal support for site control across utility-scale Solar and BESS projects, including roof and ground leases, lease options, licenses, easements, access agreements, and landlord consents, and manage local land-use or real estate counsel when jurisdiction-specific expertise is required. Coordinate with internal real estate, leasing, development, origination, execution, finance, tax, and regulatory teams to align site-control and entitlement strategies with the broader project structure. Review and negotiate EPC agreements and advise on contract interpretation during construction, including schedule delays, milestone requirements, change orders, defaults, and related assessments. Develop and maintain scalable forms, clause libraries, playbooks, and approval frameworks for recurring transactions, incorporating lessons from active projects into EPC forms and development documents. Building blocks for success Required: Juris Doctor (JD) degree from an accredited law school. Active membership in good standing in at least one U.S. jurisdiction. At least seven years of relevant legal experience at a law firm, in-house legal department, or both, with a meaningful focus on renewable energy project development or commercial energy transactions. Experience structuring, drafting, and negotiating solar power purchase agreements or comparable distributed-energy customer agreements. Experience structuring, drafting, and negotiating EPC contracts. Experience with renewable energy site control and real estate agreements, including leases, licenses, and easements. Working knowledge of title, survey, zoning, land use, permitting, and interconnection-related site rights in renewable energy project development. Preferred: Demonstrates willingness and capability to leverage emerging technology, automation, and AI tools to improve efficiency, quality, and speed. Exercises sound judgment, creative thinking, and accountability for outcomes.
