JOB SUMMARY

The Board Governance Specialist supports the Corporate Secretary and Legal Department in the administration of corporate governance activities for RGA and its subsidiaries. This role coordinates Board and Committee operations, manages governance records and board portal activities, and supports compliance with applicable governance and regulatory requirements. Working closely with directors, executive leadership, and legal counsel, the position helps ensure effective governance processes, subsidiary governance administration, and the timely execution of Board-related activities while maintaining the highest standards of professionalism, judgment, and confidentiality. JOB FUNCTIONS Principal Duties Coordinate all aspects of Board of Directors and Committee meetings, including scheduling, agendas, materials, logistics, and follow-up activities. Partner with the Corporate Secretary, executives, and business leaders to develop meeting agendas and ensure timely preparation and distribution of Board materials. Administer board portal technology, including document management, user access, training, and ongoing support for directors and executive leadership. Prepare, maintain, and organize Board and Committee records, resolutions, governance documents, and other official corporate records in accordance with record retention requirements Support compliance with applicable corporate governance, SEC, NYSE, and other regulatory requirements through the coordination of governance processes, documentation, and reporting activities Assist with governance activities for domestic and international subsidiaries, including maintaining entity records, director and officer information, resolutions, and annual governance requirements Serve as a key point of contact for directors, executive leadership, internal stakeholders, and external advisors regarding Board activities, governance matters, and related communications Coordinate director onboarding, education programs, annual questionnaires, governance assessments, and other Board effectiveness initiatives Identify opportunities to enhance governance processes, improve operational efficiency, and implement governance best practices and technology solutions. Support special projects and strategic initiatives led by the Corporate Secretary and Legal Department, exercising sound judgment, professionalism, and a high degree of confidentiality QUALIFICATIONS Education Bachelor's Degree or equivalent experience Business Administration, Corporate Governance, Legal Studies, Finance, Public Administration, or related field  Required Certified Corporate Governance Professional (CGP), Paralegal Certification, or Governance-related certification  Experience  5+ years of experience supporting corporate governance, board operations, corporate secretary functions, legal operations, executive administration, or corporate compliance activities  Experience working directly with executives, directors, or board members  Preferred  7+ years  of public company governance, subsidiary governance, legal department, or corporate secretary office experience  Experience administering board portal systems (e.g., Diligent, BoardVantage)  Skills and Abilities: Knowledge of corporate governance principles and board administration practices  Understanding of public company governance requirements and governance documentation  Strong organizational, project management, and coordination skills  Ability to manage multiple
