Job Summary

Core Responsibilities M&A Strategy & Diligence: Partner with Corporate Development to provide early-stage tax input on deal pipelines. Lead tax due diligence work-streams, quantify tax exposures, and advise on optimal structuring for M&A transactions. Legal Agreement Management: Draft, review, and govern technical tax parameters in inter-company legal documentation and transaction documents (including purchase and merger agreements). Post-Acquisition Integration: Direct comprehensive post-acquisition integration. Lead cross-functional implementation with Legal and Corporate Accounting teams. Cross-Functional Collaboration: Ensure seamless integration of target entities into PAN's global legal design to maximize capital efficiency. Coordinate with the internal compliance team and international hubs on localized form preparation and structural templates.

Qualifications

8–10+ years of progressive, dedicated M&A tax experience. Must include a strong mix of Big 4 M&A/Transaction Tax practice and in-house experience at a multinational technology corporation. Deep technical proficiency in M&A deal structures, buy/sell-side due diligence, and agreement negotiation (tax reps, indemnities, step-plans), with strong issue-spotting ability in Subchapter C and Sections 338/368. Strong working knowledge of ASC 740 principles to evaluate how deal structures, transaction costs, and post-close integrations impact the global ETR, valuation allowances, and balance sheet risk. High transactional awareness of US outbound tax (Subpart F, GILTI, FTC), local foreign tax systems, and state tax concepts to partner effectively with internal SMEs and lead post-acquisition integration. Proven ability to direct and leverage external Big 4 advisors for niche local tax opinions, deep attribute studies (Section 382/E&P), and specialized transfer pricing requirements.
