Simpson Thacher’s dynamic, deep and well-established Registered Funds Practice encompasses all aspects of the retail investment management business. Our team specializes in helping alternative asset managers translate private markets investments into perpetual capital vehicles that are offered to retail investors. We also guide firms on M&A transactions in the asset management industry, including acquisitions, minority investments and joint ventures. Clients turn to Simpson Thacher when seeking to launch a retail-oriented business, develop novel offerings, complete innovative transactions and accomplish the unprecedented in the 1940 Act space and beyond. The Registered Funds Content Lawyer is responsible for developing and executing a comprehensive content strategy focused on innovative and complex registered funds products and the regulatory developments shaping the registered funds landscape. In close collaboration with the practice partners, this role produces high-quality written content including industry publications, thought leadership pieces, market updates, and long-form articles, for a sophisticated audience of asset management firms, traditional private equity sponsors, and prospective clients. The ideal candidate brings practitioner-level expertise in the Investment Company Act of 1940, the Securities Act of 1933, and the SEC rulemaking, exemptive relief, and no-action letter practices that govern the structuring, offering, and ongoing operation of registered funds. Grounded in hands-on experience with fund formation, board governance, compliance architecture, and the convergence of private fund strategies with registered product structures, this expertise will shape the role’s content strategy and editorial perspective. As the Firm’s expert editorial voice for the registered funds practice, the Registered Funds Content Lawyer will partner closely with practicing attorneys, business development professionals, and firm leadership to deliver incisive, commercially relevant publications that deepen client relationships, elevate the practice’s market profile, and position the Firm at the forefront of thought leadership in the registered funds space. The role will report to the Director of Practice Management, Registered Funds. Essential Job Duties & Responsibilities Content Strategy Develop and execute a forward-looking editorial calendar and content pipeline covering key topics across the registered funds space, including Retail 3c7s, interval funds, tender offer funds, non-traded REITs, business development companies (BDCs), and closed-end funds. Monitor legislative, regulatory, and market developments—including SEC rulemaking, no-action letters, exemptive applications, and enforcement actions—and identify opportunities for timely written commentary. Coordinate with practice group attorneys and firm leadership to align content priorities with the firm's strategic objectives, client interests, and business development goals. Evaluate emerging trends in registered funds product structuring and distribution to ensure the firm's published content reflects the most current market thinking. Drafting & Editorial Production Research, draft, edit, and publish a broad range of written work product, including client alerts, long-form articles, white papers, market commentary, and regulatory summaries. Translate complex legal and regulatory concepts into clear, polished, and commercially oriented prose accessible to a sophisticated readership of asset managers, fund sponsors, and institutional investors. Maintain rigorous editorial standards across all published content, ensuring accuracy, consistency of voice, and adherence to the firm's style and branding guidelines. Manage the end-to-end editorial workflow, from initial topic identification and outline development through drafting, internal review, and final publication.
