The aim of this role is to provide dedicated and full range of legal support to the commercial channels and license business in China mainland, which is the most important growth energy of Under Armour, including wholesale and direct-to-consumer (“DTC”, both online and offline) managed by UA directly and by retail/franchise partners, license business governance and dispute management, so as to ensure consistently suited legal capacity and efficient legal support to the business and enable the business growth in one side, and mitigate all legal risks associated therein, and make sure all dealings or transactions with customers do not breach any laws or put Under Armour under any unwanted or unexpected liabilities. Responsibilities will include serving as the legal partner and advising commercial channel team (Wholesale, Retail, Real Estate, Store Development and E-comm) and licensing business on any issues, helping with drafting, negotiating, and managing contracts. It may cover purchase agreements, service agreements, revenue agreements, and all manner of contracts, or any incidents happen in the stores, or any disputes, negotiations, governance enhancement with partners. They may also be involved in composing commercial reports and drafting other paperwork associated with business agreements. Your Impact
Serve as business partner and legal counsel for the China commercial channels, manage and supervise associate counsel and external counsels to effectively and efficiently deliver legal services to the China commercial team. Lead, develop, inspire and motivate the dedicated legal team for China Commercial Channels. Lead the team dedicated for China commercial channels to support on commercial agreements in particular relating to leases, distribution/wholesale or other 2B agreements covering online & offline, store development and retail operation related agreements, marketplaces agreements, revenue agreements with online retailers and other group purchase clients, as well as other terms and conditions, statements, POA, standard formats etc. hereof. Lead the team to work closely with and support the China sales and KA team, on the partner relationship management, incl. without limits to onboarding, termination, assignment/transfer, annual terms, in China. Lead the team to support DTC channels for exploring new business development, including licenses, omni-channels, livestreaming sales, and other new opportunities in DTC. Manage the governance of license partners and support the commercial team on negotiation, disputes or any relevant matters regarding license agreements and relationships. Work closely with corporate competency and support the China HRBP team, particularly for retail related, implementation of employee handbook, teammate policies, teammate relationship issues in China.
